It's I file system label so yes, you'll need to format. If there is no partition will have to create a partition before you can do a mkfs gparted should do all that for you

This is what 'mount' shows sdc1 to be:

/dev/sdc1 on /media/bmike1/OpenELEC type vfat (rw,nosuid,nodev,uid=1000,gid=1000,shortname=mixed,dmask=0077,utf8=1,showexec,flush,uhelper=udisks2)

 and to format this and apply the label it would be:

 

mkfs -t vfat /dev/sdc1;e2label /dev/sdc1 Goodwill
